General Terms and Conditions

§ 1 Scope of Application

These GTC apply to all public seminars and training events offered by q.sphere GmbH,
Alfred-Herrhausen-Allee 3–5, 65760 Eschborn, as published on www.q-sphere.eu.
By registering, the customer accepts these GTC. Any deviating terms and conditions of the customer shall only apply if expressly confirmed in writing by q.sphere GmbH.
The seminar and training offerings of q.sphere GmbH are exclusively directed at entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB). Contracts with consumers are excluded.
The term “Customer” refers to the natural or legal person or legal partnership registering participants for a seminar or training. “Participant” refers to the specific individual attending the respective seminar or training.

§ 2 Conclusion of Contract and Registration

Registration for seminars and training courses may be completed via the website, by email, or in writing.
If the customer is not also the participant, the customer must provide the participant’s full name, telephone number, and email address.
Upon receipt of the registration, the customer receives a confirmation of registration. The contract becomes effective upon receipt of the registration confirmation from q.sphere GmbH.
To ensure the success of the seminars and training, the number of participants is limited; registrations are considered in the order in which they are received.

§ 3 Services and Event Formats

Content, duration, format (in-person or online), and venue are specified in the seminar or training description and the registration confirmation.
Online seminars and trainings require a stable internet connection and appropriate software. The customer is responsible for ensuring the necessary technical requirements are met.
Any failure to meet the technical requirements by the participant before or during an online event does not affect the obligation to pay the training fees; no refund will be granted in such cases.

§ 4 Participation Fees and Payment Terms

All prices are exclusive of applicable VAT.
The participation fee includes seminar or training materials, conference beverages (for in-person events), and any examination fees as stated in the offer.
Partial participation does not entitle the participant to a reduced fee.
Payments must be made no later than 10 calendar days before the start of the event. Invoices are due within 14 days.
In case of payment default, statutory interest on arrears and reminder fees may apply.

§ 5 Cancellation by the Customer

If the customer cancels a confirmed seminar or training, the following cancellation fees apply:
▪ Up to 30 calendar days before the start: free of charge
▪ Up to 14 calendar days before the start: 50% of the participation fee
▪ Later or in case of no-show: 100% of the participation fee
Cancellations must be submitted in writing to q.sphere GmbH, Alfred-Herrhausen-Allee 3–5, 65760 Eschborn, or via email to office@q-sphere.eu.
The nomination of a substitute participant is possible free of charge up to 2 business days before the event.y.

§ 6 Cancellation or Changes by q.sphere GmbH

q.sphere GmbH reserves the right to cancel seminars or training sessions in the event of an insufficient number of participants or for compelling reasons (e.g., illness of the instructor).
Any payments already made will be fully refunded. Further claims (e.g., travel or accommodation expenses) are excluded.
q.sphere GmbH reserves the right to make changes to the schedule, instructors, or venue, provided the overall character of the seminar or training remains unchanged.

§ 7 Rebooking

Rebooking to alternative dates is possible free of charge up to 14 calendar days before the start of the seminar or training. After that, a processing fee of 10% of the participation fee will be charged.

§ 8 Copyright and Use

The provided materials, content, and concepts are protected by copyright.
Any reproduction, distribution to third parties, or commercial use is prohibited unless expressly permitted in writing.

§ 9 Liability

q.sphere GmbH is only liable for damages—regardless of the legal basis—if intent or gross negligence on the part of q.sphere GmbH, its legal representatives, or vicarious agents can be proven.
This does not apply to liability for personal injury. In cases of simple negligence, q.sphere GmbH’s liability is limited to typical, foreseeable damages, except in cases of injury to life, body, or health.
Otherwise, liability for slight negligence is excluded.
q.sphere GmbH is not liable for the loss or theft of items brought by participants.
No liability is assumed for technical issues on the customer’s side (e.g., in online seminars or trainings).
Liability for lost profits, data loss, or indirect damages is excluded.

§ 10 Data Protection

q.sphere GmbH processes personal data in accordance with applicable data protection laws (in particular the GDPR and the German Federal Data Protection Act, BDSG).

§ 11 Force Majeure

If services cannot be provided due to force majeure, the obligations to perform shall be suspended for the duration and extent of the disruption. The customer will be informed without delay.

§ 12 Jurisdiction and Governing Law

The place of jurisdiction is the registered office of q.sphere GmbH. German law shall apply exclusively.

§ 13 Severability Clause

Should individual provisions of these GTC be or become wholly or partially invalid, the validity of the remaining provisions shall remain unaffected.
